About this role

You will design advanced corporate law evaluation tasks for AI systems operating in complex transactional, securities, governance, and restructuring environments. The role focuses on creating realistic legal scenarios involving major M&A transactions, capital markets matters, corporate governance, commercial contracts, and regulatory review. You will develop reference legal outputs and evaluation rubrics that reflect how experienced corporate attorneys reason through high-stakes corporate matters across either the US jurisdictional track or the International UK/EU track.

Responsibilities

Corporate law scenario design: Create realistic legal scenarios involving large-scale M&A transactions, multi-party negotiations, regulatory reviews, governance matters, and restructurings.
M&A and deal structuring: Develop tasks covering transaction structures, due diligence, negotiation issues, closing conditions, and deal documentation.
Securities and capital markets: Build scenarios involving securities offerings, regulatory filings, disclosure obligations, and capital markets transactions.
Corporate governance: Create tasks involving board responsibilities, shareholder rights, fiduciary duties, governance processes, and corporate approvals.
Legal research and tooling: Incorporate workflows using Westlaw, Lexis, Intralinks, Datasite, contract lifecycle management platforms, and document automation systems.
Regulatory analysis: Apply relevant corporate law standards including Delaware corporate law, SEC rules, antitrust/HSR requirements, UK Companies Act 2006, and EU company law directives.
Reference output creation: Produce high-quality legal memoranda, transaction documents, regulatory-facing narratives, and client communications.
Rubric development: Create evaluation standards that distinguish senior-level corporate legal judgment from generic law school or bar exam responses.
AI evaluation support: Design technically sophisticated tasks that measure AI reasoning across real-world corporate legal workflows.

Qualifications

Minimum 5+ years of professional experience as a corporate attorney, corporate counsel, general counsel, M&A attorney, capital markets lawyer, or related senior legal professional.
Experience at a major law firm, investment bank, public company, or sophisticated corporate legal department is strongly preferred.
Direct ownership of M&A transactions, securities filings, corporate governance matters, capital markets deals, or restructurings.
Strong knowledge of deal structuring, due diligence, regulatory filing analysis, transaction documentation, and corporate governance.
Expertise in either the US track involving Delaware General Corporation Law, SEC regulations, and the Model Business Corporation Act, or the International track involving the UK Companies Act 2006 and EU company law directives.
Strong understanding of regulatory approval processes such as SEC review, antitrust/HSR clearance, or international equivalents.
Experience working with boards, shareholders, executives, investors, counterparties, and regulatory stakeholders.
Excellent legal writing, analytical reasoning, and structured communication skills.
